Please read this Agreement and the Site`s Privacy Policy carefully before accessing or using the Site. By accessing or using any part of the Site, you are bound by this Agreement. If you do not agree to all of the terms and conditions of this Agreement, you may not access or use the Site. 6.2 User Acknowledgements. User and its Authorized Users are solely responsible for any loss, damage or cost that may occur due to errors or failure or delay of the software or equipment used by User or its Authorized Users to connect to the System. The User acknowledges that his/her connection and each of its Authorized Users` connection to the System is at its sole discretion and risk, and that the User or its Authorized Users, as applicable, shall be solely responsible for any damage, maintenance, repair or correction of its computer systems or other equipment, as well as any interruption of business operations or loss of data, resulting from such connection to the system or inability to connect to the system. User acknowledges and agrees that Paradigm assumes no responsibility for inaccurate, unreceived or delayed transmissions by the System or by User`s or its authorized users` connection to the System, and may transmit any message on terms actually received by the System. In addition, Paradigm assumes no responsibility for any regulatory or other reporting or record-keeping requirements of the User arising from any order or instruction submitted to or by any User or Authorized User. And the trend is upward. We are always looking for new legal software to join our family. 4.5 Message Data.

Notwithstanding anything to the contrary in this Agreement, Paradigm may use Message Data in aggregated/anonymous form for any purpose and make it available to its affiliates, including for the purpose of promoting transaction volume or other statistical information, or in various marketing materials and publications. Paradigm and its affiliates may, in Paradigm`s sole discretion, resell, distribute, commercialize or license all or part of the aggregated/anonymous messaging data to any other person (other than its agents) or otherwise use all or part of the data that Paradigm or its affiliates deem appropriate and withhold any associated compensation; provided that neither Paradigm nor its affiliates identify any User or Authorized User in connection with the Message Data, except: (a) as required by applicable law; (b) for the purpose of resolving a dispute with the User or any other person; or (c) to legal or accounting advisors on a confidential basis. Paradigm may make modifications, enhancements, changes or additions to the products, services, information and materials on the Site, including the terms of this Agreement and the Privacy Policy that govern your use of this Site, without liability. Paradigm will promptly notify the User in writing of any claim or action; provided that failure to notify User shall not limit User`s indemnification obligations under this Section 6.1(a), unless User is materially affected thereby. Paradigm shall have the right to defend any such claims or actions in its sole discretion. User agrees to provide Paradigm with comprehensive information and assistance (including from or in connection with its authorized users) to resolve and/or defend any such claim or claim. “Master Loan Agreement” means a Master Loan Agreement between a borrower and a lender that sets out the terms and conditions of a loan between the parties and under which the borrower and the lender may enter into one or more loans, the terms of which are contained in a loan term sheet (as defined in the Master Loan Agreement). Disputes relating to transactions (including whether an agreement has been reached, the terms of this agreement or the breach of this agreement) shall be governed exclusively by and resolved in accordance with the rules of the relevant clearing house. To the extent that a transaction is not subject to dispute resolution under the rules of the clearing institution concerned, that dispute must be resolved directly between the users concerned. Paradigm will not be involved in any dispute resolution, and each user agrees not to hold Paradigm liable for any dispute with the other user or applicable compensation venue. This U.S.

Approved Product Schedule (as amended from time to time, this “Schedule”) is an appendix to the User Agreement (the “User Agreement”) signed by the Logged In User with respect to his or her use of the communication software provided by Paradigm Connect, Inc. DBA Paradigm (“Paradigm”) and applies to Products released in the United States (as defined below). This Appendix supplements and forms part of the User Agreement with respect to products approved in the United States. Capitalized terms used but not defined in this Schedule have the meanings ascribed to them in the Terms of Use. Use of the System to trade eligible U.S. products, which are then deposited for clearing with a clearing agency for products launched in the United States, constitutes acceptance by the user of the terms of this Annex, as amended from time to time. 1.12 Electronic Communications. User hereby consents to the provision of any required or optional communications under this Agreement or applicable law, including changes to the terms of this Agreement required by regulatory requirements or compliance with information security requirements (as specified below), through the System, by email, website or other electronic means, subject to compliance with applicable laws. These documents transmitted electronically are deemed to be “written”. If a signature or confirmation is required or requested with respect to this document and an authorized user “clicks” in the appropriate location or takes any other action specified in the system, the user is deemed to have signed or confirmed the document to the same extent and with the same effect as if he or she had manually signed the document. User acknowledges that User has the right to withdraw consent to electronic delivery and signature of the Documents at any time by prior written notice to Paradigm. However, if the user withdraws consent, their access to the system may be restricted or terminated.

User acknowledges that if necessary for regulatory reasons or to comply with information security requirements, Paradigm may modify the terms set forth in this Agreement by any of the above notification methods. If User does not agree to such changes, User`s sole right is to terminate this Agreement in accordance with Section 3.
